Dream Shop Dream Shop Partner Program Agreement

Effective Date: August 22, 2025

This Dream Shop Partner Program Agreement ("Agreement") is a legally binding contract between the Dream Shop Partner and Dream Shop. By submitting a Dream Shop Partner application, and/or by participating in the Dream Shop Dream Shop Partner Program, you acknowledge and agree to the terms outlined in this Agreement. This Agreement is subject to and incorporates by reference Dream Shop’s terms of use, privacy policy, and any other relevant policies stated on our website.

1. Definitions

“Dream Shop Partner” refers to an entity or person over the age of 18 that is accepted by us as a Dream Shop Partner in the Dream Shop Partner Program. The words “you” and “your”, whether or not capitalized, also refer to “Dream Shop Partner”.

“Company” refers to Happy Legal LLC, dba Dream Shop, an Arizona Limited Liability Company, based in Arizona. The words “we”, “us”, and “our” also refer to Dream Shop.

"Dream Shop Partner Program" and "Program" refer to the marketing initiative we offer, enabling approved Dream Shop Partners to earn commissions by promoting our products in compliance with the terms outlined in this Agreement.

“Dream Shop Partner Link” refers to the unique URL or tracking code assigned to a Dream Shop Partner, designed to direct traffic to Dream Shop’s website. This link allows us to track and attribute conversions generated through the Dream Shop Partner’s efforts, whether on their blog, website, or social media platforms.

“Customers” refers to third parties, including Dream Shop Partners, who make a purchase on our website after clicking on the Dream Shop Partner Link.

"Commission" means the money received by the Dream Shop Partner, calculated on the net-sale amount of Qualified Purchases, as outlined in this Agreement.

"Products" refers to the items available for purchase through our website.

"Qualified Purchases" means completed and non-returned purchases made using your unique Dream Shop Partner Link.

“Net Sale Amount” means after all deductions (e.g., discounts, gift cards, loyalty points redemption, taxes, shipping, processing fees)

“Cookie Duration” means the period during which a cookie placed on a customer's browser attributes a sale to the Dream Shop Partner.

2. Dream Shop Partner Application and Approval

Application: To become a Dream Shop Partner, you must complete and submit the official Dream Shop Partner Program Application available on our website. All information provided must be accurate, up to date, complete, and truthful.
Review and Approval: We reserve the sole right to review and approve or reject any Dream Shop Partner Application for any reason, including but not limited to, if We determine that your website or marketing channels are unsuitable, violate any laws, or are inconsistent with Our brand image.
Notification: If your application is approved, you will be notified via email and provided with access to your Dream Shop Partner dashboard, unique Dream Shop Partner links, and promotional materials.
Communications: We will send all communications to the email address linked to your account. By participating, you agree to receive these messages and acknowledge that opting out or requesting the deletion of your personal data may result in the termination of your participation in the Program. Any notifications, approvals, or other communications sent to your registered email address will be considered received, even if the email address on file is no longer valid or up to date.

3. Commission and Payment Structure

Commissions: Subject to the terms of this Agreement, you will earn a commission on Qualified Purchases made by Customers who click on your unique Dream Shop Partner Link and complete a purchase on our website. The standard commission rate is 20% of the Net Sale Amount in USD. Additionally, Customers who make a Qualified Purchase using your Dream Shop Partner Link will receive a 10% discount. We reserve the right to modify the commission rate or implement a tiered commission structure at any time, with prior notice to you.
Qualified Purchases: A "Qualified Purchase" means a completed sale of our products on our website. A Qualified Purchase occurs when the Customer completes the following steps: (i) clicks your Dream Shop Partner Link, (ii) completes the purchase within the specified cookie duration period, and (iii) the Customer does not return or cancel the product order within the return/cancellation period. Qualified Purchases cannot be made utilizing any coupon codes or promotions not specifically provided for or approved by Us for your use.
Payment Schedule: Commissions will be paid on a monthly basis, at the end of the Commission period, to allow for returns and cancellations. The Commission period is 30 calendar days. We are not responsible for paying for commissions lost due to the Customer clearing cookies, browser settings, or technical issues beyond our control.
Payment Method: Payments will be made electronically to the payment account provided in your Dream Shop Partner profile. You are responsible for ensuring your payment information is accurate and up-to-date. Any fees associated with the chosen payment method will be your responsibility. Dream Shop Partner is solely responsible for all taxes (income, sales, etc.) related to commissions earned. To process payments accurately, we may need specific identification and tax information. Failure to provide the requested details could result in payment delays or withholding.
Product Returns and Cancellations: If a customer returns a product, cancels an order, or initiates a chargeback, the Dream Shop Partner's commission for that specific sale will be reversed, forfeited, or deducted from future earnings.

4. Dream Shop Partner Link Tracking and Reporting

Unique Dream Shop Partner Link: Upon approval, you will be provided with a unique Dream Shop Partner Link that contains a tracking code. This link is essential for tracking Qualified Purchases attributable to your efforts.
Cookie Tracking: We use cookie-based tracking to identify customers who have clicked on your Dream Shop Partner Link. The cookie duration is 60 days. If a customer clears their cookies or makes a purchase after the cookie duration, the sale may not be attributed to you. If a customer clicks on multiple Dream Shop Partner Links from different Dream Shop Partners, the first Dream Shop Partner Link clicked before the Qualified Purchase will be attributed the commission
No Alteration of Links: You agree not to alter, modify, or obscure your Dream Shop Partner Link in any way that would prevent proper tracking.
Reporting: You will have access to a Dream Shop Partner dashboard that provides real-time tracking of clicks, sales, and commissions earned.
Reporting Discrepancies: Any tracking or reporting discrepancies must be reported via email to hello@dreamshoplegal.com within 15 days after the Commission Period ends. We will review the issue thoroughly and make a final decision at our sole discretion.

5. Dream Shop Partner Responsibilities and Obligations

Ethical Conduct: You agree to promote our products in an ethical and professional manner, consistent with our brand guidelines and marketing materials.
Authority: You represent and warrant that you have full power and authority to enter into this Agreement and that your participation in the Dream Shop Partner Program will not violate any other agreements or obligations.
Maintenance of Marketing Channels: You are responsible for the development, operation, and maintenance of your website and all materials that appear on your site. You agree to maintain all of the social media accounts, websites, blogs, and other online spaces you use to promote our Products. You agree to promptly respond to any inquiries from Us regarding your promotional activities.
Compliance with Laws: You are solely responsible for ensuring that your marketing activities and website comply with all applicable local, state, federal, and international laws, regulations, and industry guidelines, including but not limited to consumer protection laws, advertising laws, and data privacy laws.

6. Marketing Guidelines

Marketing Materials: As part of the Dream Shop Partner Program, we may provide you with specific marketing and promotional materials (e.g., brand guidelines, banners, text links, product images, descriptions) (“Marketing Materials”) on a limited, non-exclusive, and non-transferable basis. You may only use the Marketing Materials provided or explicitly approved by Dream Shop. Any deviation from approved materials or creation of new materials requires our prior written consent
FTC Disclosures: You agree to disclose your Dream Shop Partner relationship with us in all promotional content where your Dream Shop Partner Link is present. Disclosures must be (i) in plain language; (ii) in a font and color that is easily readable; (iii) near the beginning of the content or where the Dream Shop Partner Link first appears; and (iv) not hidden behind clicks, links, or in privacy policies. This disclosure is mandatory to comply with the Federal Trade Commission (FTC) Endorsement Guides. Failure to comply may result in termination of your Agreement and forfeiture of commissions.
Social Media: When promoting on social media, you must adhere to the platform's policies and clearly include the FTC disclosures as outlined in this Agreement.

7. Prohibited Activities

The following activities (“Prohibited Activities”) are strictly prohibited and may result in immediate termination of your Dream Shop Partner account and forfeiture of all accrued commissions:

Fraudulent Activities: You are prohibited from attempting to defraud Company or our Customers through the use of bots, fake clicks, artificial traffic generation, or any other fraudulent means.

5.1. Misrepresentations: Making false, misleading, or unsubstantiated claims about the Products or Company.

5.2. Negative Comments: Publishing or endorsing any negative, derogatory, or disparaging comments, reviews, or content about Company, its Products, or its competitors.

Trademark Infringement: Using our Company name, our product name(s), or logos in a manner that constitutes infringement or dilution.
Copyright Infringement: As a Dream Shop Partner, we encourage you to use any promotional materials or suggested content we provide to help promote our brand. However, you may not directly copy content from our website or other platforms where we publish material. Instead, you must paraphrase any such content if you choose to use it, ensuring originality in your messaging. You may not copy the look or feel of our website or web pages.
Brand Bidding: You are prohibited from bidding on our Company or Product names, trademarks, or any variations or misspellings thereof in any pay-per-click (PPC) or search engine marketing campaigns. This includes bidding on negative keywords.
Negative SEO: You may not engage in any activities that could negatively impact our search engine rankings or online reputation.
Parasitic Marketing: You are prohibited from engaging in any form of parasitic marketing, including but not limited to cookie stuffing, forced clicks, or any other deceptive practices. The use of cookie-stuffing techniques or click generators that place tracking cookies or simulate clicks without genuine user interaction is strictly prohibited. All clicks on Dream Shop Partner links must result from a live human intentionally engaging with the link. Additionally, artificially generating clicks, impressions, or visits to your site, blog, social media platforms, or our website—whether through bots, software, or other means—is not allowed.
Reverse Engineering: You are prohibited from attempting to reverse engineer, decompile, or disassemble any aspect of our website or tracking system.
Spyware, Malware, and Similar Tools: The use of spyware, malware, trojans, trackers, viruses, or any similar technologies is strictly forbidden in connection with any Dream Shop Partner Link or any other aspect of the Program.
Spamming: You shall not send unsolicited emails or engage in any form of spamming to promote our products/services.
No Self-Purchases: You may not make purchases through your own Dream Shop Partner Link for personal use or to artificially inflate commissions. Such purchases will not be eligible for commission and may lead to termination of your account.
Offensive Content: You are prohibited from mentioning or promoting the Company on any website, social media, or platform that features content deemed misleading, fraudulent, defamatory, obscene, violent, illegal, harassing, hateful, or pornographic. The determination of whether such content is present lies solely at our discretion.
Misrepresentations: As a Dream Shop Partner, you agree not to misrepresent the Dream Shop Partner Program or your role within it. You must not claim or imply any position beyond that of a Dream Shop Partner, such as acting as a partner, representative, agent, or employee of the Company. Additionally, you are not authorized to represent, or enter into contracts on behalf of the Dream Shop or conduct business in its name.
Non-Disparagement: You shall not make any false, misleading, or disparaging statements about Dream Shop or its products.

8. Intellectual Property

Limited License to Use Company’s Name: We grant you a non-exclusive, non-transferable, and revocable license to use our Company name, product names, logo, product photos and videos, written content and Marketing Materials provided by us (collectively referred to as “Company IP”) strictly for the purpose of promoting our products in compliance with this agreement. However, you are expressly prohibited from using Company IP for paid advertising, media buying, incorporating it into social media usernames, or including it in domain names.
Restrictions: You shall not use our Company IP in any manner that is misleading, disparaging, or that could dilute the distinctiveness of our brand. You shall not register or attempt to register any intellectual property, domain names, or social media handles that are similar to or incorporate Company IP or other intellectual property owned by us.
Ownership: All intellectual property rights related to our products, services, website, and promotional materials are solely and exclusively owned by us. This Agreement does not transfer any ownership of the Company’s intellectual property or related assets to the Dream Shop Partner.

9. Confidential Information and Data Privacy

Confidentiality: Through participation in the Dream Shop Partner Program, you may be exposed to Dream Shop’s confidential information, including but not limited to marketing strategies, product development plans, and customer data. You agree to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than as necessary to perform your obligations under this Agreement. Confidential information does not include information that is already public, independently developed, or received from a third party without breach. Confidentiality obligations will remain in force for five years. However, for trade secrets, these obligations will continue indefinitely, provided the information qualifies as a trade secret.
Data Privacy: You acknowledge and agree that you are responsible for complying with all applicable data privacy laws and regulations (e.g., GDPR, CCPA) concerning any personal data you collect, process, or store in connection with your marketing activities. You will not collect any personal data of our customers directly from our website.

10. Termination

Termination by Either Party: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
Termination for Breach: We may terminate this Agreement immediately without notice if you breach any of the terms and conditions herein, particularly those related to Prohibited Activities, violation of platform policies, FTC-required disclosures, or fraudulent conduct.
Effect of Termination: Upon termination, you must immediately cease all use of Company IP and our Marketing Materials. You must remove all Dream Shop Partner Links and promotional materials from your website and marketing channels. All accrued commissions will be forfeited if termination is due to your breach of this Agreement. If termination is without cause by either party, you will be paid any commissions earned up to the effective date of termination.

11. Representations and Warranties

Dream Shop Partner Representations and Warranties: Dream Shop Partner represents and warrants (i) your marketing activities will not infringe on any third-party intellectual property rights; (ii) your marketing channels (website, social media, email) do not contain illegal, offensive, or harmful content; (iii) you will not make false or misleading claims about products; (iv) you will not engage in any activities that could harm the Company's reputation; and (v) You possess the full legal right, authority, and capacity to accept and be bound by this Agreement, as well as to fulfill your obligations under it, without requiring approval or consent from any other party.
Disclaimer: Dream Shop does not guarantee any level of sales, traffic, or earnings for the Dream Shop Partner. We do not make any express or implied warranties or representations regarding Dream Shop’s programs, website, products, or services. All implied warranties, including those of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement, are explicitly disclaimed and excluded. Additionally, we do not guarantee that the operation of the Dream Shop website, services, products, Marketing Materials, or social media will be uninterrupted or error-free. We are not responsible for any consequences resulting from interruptions or errors.

12. Legal

Limitation of Liability: To the extent permitted under applicable law, we will not be liable for any indirect, special, incidental, or consequential damages, including the loss of revenue, profits, or data, arising from this Agreement or participation in the Dream Shop Partner Program. This limitation applies even if we have been advised of the possibility of such damages, except in cases of gross negligence or intentional misconduct. Our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement in the twelve (12) months preceding the event giving rise to the claim.
Indemnification: You agree to indemnify, defend, and hold harmless Dream Shop and its directors, officers, employees, and agents (“Indemnified Parties”) from and against any and all claims, demands, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (i) your operation of your website or marketing channels, (ii) your breach of any term or condition of this Agreement, (iii) your violation of any applicable law or regulation, or platform policy, or (iv) your negligence or willful misconduct. You also agree to indemnify the Indemnified Parties for any damages, attorney fees, or court-awarded costs granted to the party or parties filing the Claim, whether decided by a court or arbitrator.
Governing Law and Dispute Resolution: This Agreement will be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles. You agree that any dispute arising from or related to this Agreement shall be resolved through binding arbitration, through a mutually agreed-upon arbitrator located in Arizona, Maricopa County.
Remedies. You acknowledge that certain breaches or threats of breach of this Agreement may cause Company irreparable harm. Nothing prevents either party from seeking immediate injunctive relief where appropriate.
Attorney Fees/Legal Costs. If either Party initiates legal action to enforce or protect its rights under this Agreement, the prevailing Party shall have the right to recover reasonable attorneys' fees and related expenses, in addition to any damages awarded.

13. General

Independent Contractor: You are an independent contractor, and this Agreement does not establish a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Dream Shop. You are solely responsible for all taxes, insurance, and other liabilities associated with its activities hereunder. Dream Shop Partner has no authority to make any representations, warranties, or commitments on behalf of Dream Shop.
Notices. Notices to Dream Shop must be submitted in writing and sent via email to partners@dreamshoplegal.com. Notices to you will be sent to the email address provided in your Dream Shop Partner application.
C. Survival. The following provisions shall remain in full force and effect indefinitely, even after termination: Legal, Confidentiality, Intellectual Property, and Representations and Warranties.
Modification: We reserve the right to modify any of the terms and conditions in this Agreement at any time, in our sole discretion. We will notify you of any changes via email or by posting an updated version of the Agreement on our website. Your continued participation in the Dream Shop Partner Program after such modifications constitutes your acceptance of the revised terms.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any provision of this Agreement will not be considered a waiver of our right to enforce such provision or any other provision at a later time.
Assignment: You may not assign or transfer this Agreement or any of your rights or obligations hereunder without our prior written consent. We reserve the right to transfer or assign this Agreement without your consent.
Force Majeure: Neither party shall be liable for any delay or failure in performance hereunder due to causes beyond its reasonable control, including but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
Entire Agreement: This Agreement constitutes the entire agreement between you and Us and supersedes all prior agreements, understandings, and communications, whether oral or written, relating to the subject matter hereof.

By proceeding with the Dream Shop Partner Program Application, you acknowledge that you have read, understood, and agree to the terms and conditions set forth in this Agreement. By checking the box below, you agree that your electronic acceptance constitutes a legally binding signature.
